1. Acceptance of these terms

These Terms of Use ("Terms") form a legally binding agreement between you and Two Credits SHPK ("Two Credits", "we", "our", "us"). By accessing or using twocredits.com and any related subdomains (together, the "Site"), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Site.

2. Who we are

Two Credits SHPK is a company organized under the laws of the Republic of Albania, with its registered office in Lezhe, Albania. You can reach us at hello@twocredits.com.

3. Eligibility

You must be at least 16 years old to use the Site. If you use the Site on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to both you and the organization.

4. Scope of these terms

These Terms govern only your use of the Site. Any consulting, advisory, development, or other professional services we provide are governed by a separate written services agreement, statement of work, or engagement letter signed by both parties. If there is any conflict between these Terms and a signed services agreement, the signed agreement controls for the services it covers.

5. Changes to these terms

We may update these Terms from time to time. When we do, we will change the "Last updated" date at the top of this page. Material changes will be highlighted on the Site or communicated to you where appropriate. Your continued use of the Site after changes take effect means you accept the updated Terms.

6. Site availability

We work to keep the Site available and functioning, but we do not guarantee uninterrupted, error-free, or secure access. We may modify, suspend, or discontinue any part of the Site at any time without notice.

7. Acceptable use

When using the Site, you agree not to:

• Use the Site in a way that violates any applicable law or regulation.
• Infringe on the intellectual property or privacy rights of others.
• Attempt to probe, scan, or test the vulnerability of the Site or any related system, or breach any security or authentication measure.
• Interfere with or disrupt the Site, its servers, or networks connected to it, including by uploading malware or sending excessive automated requests.
• Scrape, harvest, or systematically collect content from the Site by any automated means without our written permission.
• Frame, mirror, or reverse engineer any part of the Site.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Use the Site to transmit unsolicited commercial communications ("spam").

8. Accounts and security

The Site does not currently require an account for public browsing. If we later provide accounts or client portals, you are responsible for keeping your credentials confidential and for all activity that occurs under your account, and you must notify us promptly of any unauthorized access.

9. Intellectual property

The Site and its content, including text, graphics, logos, illustrations, layouts, code, and design elements, are owned by Two Credits SHPK or its licensors and are protected by copyright, trademark, and other intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your personal or internal business evaluation of our services. All other rights are reserved.

You may not copy, modify, distribute, sell, lease, publicly display, or create derivative works from any part of the Site without our prior written permission. Sharing a link to a public page of the Site is permitted.

10. Trademarks

"Two Credits" and the Two Credits logo are trademarks of Two Credits SHPK. Other names, logos, and marks appearing on the Site are the property of their respective owners and are used for identification only. Their use does not imply any affiliation with or endorsement by their owners.

11. Submissions

If you send us content through the Site or by email (for example, an inquiry, a brief, or supporting documents), you represent that you have the right to share it and that it does not infringe any third-party rights or violate any law. We handle information you submit in accordance with our Privacy Policy. Do not send confidential or sensitive information through the Site unless we have agreed on a secure channel with you.

12. Feedback

If you send us ideas, suggestions, or feedback about the Site or our services, you grant us a worldwide, royalty-free, perpetual, and irrevocable license to use that feedback for any purpose, without any obligation or compensation to you. Feedback is provided voluntarily and is not treated as confidential.

13. Confidentiality of communications

Information exchanged during a formal engagement is governed by the confidentiality provisions of the applicable services agreement or non-disclosure agreement. Casual pre-engagement communications through the Site are not automatically confidential; if you need to share confidential information before an agreement is in place, contact us first so we can put appropriate arrangements in place.

14. Third-party services and links

The Site may reference third-party names or link to third-party websites and services. Those third parties are responsible for their own content, products, terms, and privacy practices. We do not endorse and are not responsible for them, and your interactions with them are between you and the third party.

15. No professional advice

Content on the Site is provided for general informational purposes only. It is not legal, financial, tax, investment, or other professional advice, does not create a client relationship, and should not be relied on as a substitute for tailored advice from a qualified professional based on your specific circumstances.

16. Forward-looking statements

Statements on the Site about outcomes, growth, timelines, or the impact of our services are illustrative and depend on many factors outside our control. We make no representation or warranty that any past outcome will be replicated in your specific case.

17. Privacy

Our collection and use of personal information in connection with the Site is described in our Privacy Policy, which is incorporated into these Terms by reference.

18. Disclaimer of warranties

To the maximum extent permitted by law, the Site and its content are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. We do not warrant that the Site will be error-free, secure, or free of viruses or other harmful components.

19. Limitation of liability

To the maximum extent permitted by law, in no event will Two Credits SHPK, its affiliates, or their respective directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, or data, arising out of or in connection with your access to or use of the Site, whether based on contract, tort (including negligence), statute, or any other legal theory, even if we have been advised of the possibility of such damages.

To the extent liability cannot be excluded under applicable law, our total aggregate liability arising out of or relating to your use of the Site is limited to one hundred euros (EUR 100). Nothing in these Terms limits liability that cannot be limited by law, including for fraud, willful misconduct, or death or personal injury caused by negligence.

20. Indemnity

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Two Credits SHPK and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your misuse of the Site, or your violation of any law or third-party right.

21. Suspension and termination

We may suspend or terminate your access to the Site at any time, with or without notice, if we reasonably believe you have breached these Terms or that your use may cause harm to us, other users, or third parties. Sections that by their nature should survive termination will do so, including intellectual property, disclaimers, limitations of liability, indemnity, and governing law.

22. Governing law and venue

These Terms are governed by the laws of the Republic of Albania, without regard to its conflict-of-laws rules. Any dispute arising out of or in connection with these Terms or the Site will be subject to the exclusive jurisdiction of the competent courts of Lezhe, Albania, subject to any mandatory consumer protection rights available to you under the law of your country of residence.

23. Force majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural events, war, civil unrest, labor disputes, government action, network or utility failures, or supplier failures.

24. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.

25. Severability and waiver

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of that right or provision.

26. Entire agreement

These Terms, together with our Privacy Policy and any other legal notices we publish on the Site, constitute the entire agreement between you and Two Credits SHPK regarding the Site and supersede any prior agreements on that subject.
